Terms of Service
1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the Teamful platform, including all associated websites, applications, APIs, and services (collectively, the “Service”), operated by Teamful ApS, a company registered in Denmark with its principal place of business in Copenhagen (“Teamful,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service, you agree to be legally bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization as well.
If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility and Account Registration
You must be at least 16 years old to use the Service. By registering, you confirm that you meet this requirement and that all information you provide is accurate, complete, and kept up to date.
Accounts may be created using a Google account or via email and password registration. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Teamful is not responsible for unauthorized access resulting from your failure to secure your account credentials.

3. Description of the Service
Teamful provides a suite of software tools designed for campaign planning, execution, collaboration, approvals, reporting, and related workflows. This includes, but is not limited to, products currently known as Scope, Atlas, and Studio, as well as any future tools introduced under the Teamful brand.
The Service may integrate with third-party platforms and APIs, including social media services such as TikTok, Twitch, Instagram, X (Twitter), YouTube, and Facebook. Teamful does not control these third-party services and is not responsible for their availability, functionality, or policies.

4. Subscriptions, Billing, and Payments
Certain features of the Service require a paid subscription. Pricing, plan details, and billing intervals are displayed at the time of purchase and may vary by product or tier.
Payments are processed through Stripe or other authorized payment processors. By subscribing, you authorize Teamful to charge the applicable fees on a recurring basis (monthly or annually, depending on your plan) until the subscription is canceled.
All fees are non-refundable except where required by applicable law. Failure to process payment may result in suspension or termination of access to the Service.
Teamful reserves the right to change pricing or introduce new fees with reasonable advance notice.

5. Free Trials
Teamful may offer free trials or promotional access at its discretion. Trial features, duration, and limitations are defined at the time of activation.
Unless canceled before the trial ends, your account may automatically convert to a paid subscription. You are responsible for canceling before the trial expiration if you do not wish to continue.

6. User Content and Ownership
You retain ownership of all data, content, files, and materials submitted to or created within the Service (“User Content”).
By using the Service, you grant Teamful a limited, non-exclusive, worldwide license to host, process, transmit, display, and store User Content solely to operate, improve, and provide the Service as intended.
Teamful does not claim ownership over User Content and does not use it for advertising or marketing without your explicit permission.
You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any laws or third-party rights.

7. Acceptable Use
You agree not to misuse the Service. This includes, but is not limited to:
• Using the Service for unlawful, fraudulent, or deceptive purposes
• Attempting to access data or accounts without authorization
• Interfering with or disrupting the integrity or performance of the Service
• Uploading malicious code or exploiting security vulnerabilities
• Reverse engineering, copying, or reselling the Service without permission
Teamful reserves the right to investigate violations and take appropriate action, including suspension or termination of access.

8. Access Controls, Permissions, and Roles
The Service allows account administrators to define user roles, access levels, and permissions. You are responsible for configuring these settings appropriately.
Teamful is not liable for access issues arising from misconfigured permissions or user-managed access controls. Internal users, clients, creators, and collaborators only see what account administrators allow them to see.

9. Third-Party Integrations
The Service may connect to third-party services at your request. Your use of these integrations is subject to the respective third-party terms and privacy policies.
Teamful does not guarantee availability or performance of third-party integrations and may modify or discontinue integrations at any time.

10. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, including business, technical, or financial information, unless disclosure is required by law or permitted under these Terms.
Confidential obligations survive termination of these Terms.

11. Data Protection and Privacy
Personal data is processed in accordance with our Privacy Policy and Data Processing Addendum, which form part of these Terms by reference.
Teamful complies with applicable data protection laws, including GDPR, and implements reasonable technical and organizational safeguards.

12. Security
Teamful maintains administrative, technical, and physical safeguards designed to protect User Content and account data. However, no system is completely secure, and Teamful does not guarantee absolute security.
You acknowledge and accept the inherent risks of using online services.

13. Service Availability and Modifications
Teamful aims to provide a reliable service but does not guarantee uninterrupted availability. Scheduled maintenance, updates, or unforeseen issues may result in temporary downtime.
Teamful may modify, update, or discontinue features or parts of the Service at any time, with reasonable notice where practicable.

14. Termination and Suspension
You may terminate your account at any time by canceling your subscription.
Teamful may suspend or terminate access immediately if you violate these Terms, fail to pay applicable fees, or pose a security or legal risk.
Upon termination, access to the Service will cease, and User Content may be deleted in accordance with our data retention practices.

15. Intellectual Property
The Service, including software, design, branding, and documentation, is owned by Teamful or its licensors and is protected by intellectual property laws.
Nothing in these Terms grants you ownership of Teamful intellectual property.

16. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Teamful disclaims all warranties, whether express or implied, including fitness for a particular purpose and non-infringement.
Teamful does not guarantee specific outcomes, performance metrics, or results from use of the Service.

17. Limitation of Liability
To the maximum extent permitted by law, Teamful shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Teamful’s total liability under these Terms shall not exceed the fees paid by you to Teamful in the twelve months preceding the claim.

18. Indemnification
You agree to indemnify and hold harmless Teamful from claims, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

19. Governing Law and Jurisdiction
These Terms are governed by the laws of Denmark, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts of Copenhagen, Denmark, unless otherwise required by mandatory law.

20. Changes to These Terms
Teamful may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
